Commercial due diligence

Know whether the growth story stands up before money moves. For investors before a deal, and for founders before they raise.

Who it is for: VC, growth and private equity investors, family offices and corporate development teams, and founders preparing a round.

Commercial due diligence
Typical length
Two to four weeks
Covers
Market, customers, pipeline, pricing and AI claims

The problem

Money is moving fast. Venture funding in the Middle East rose 89% in 2025 to $3.43B, across a record 581 deals (MAGNiTT). Yet in the UAE, only 10.6% of startups that raised early money reached Series A in the first half of 2026, and founders struggle to make their case (EnterpriseAM).

AI claims are the newest gap. In Bain's study of more than 300 companies, fewer than one in ten were truly reinventing their business with AI (Bain). A plan built on AI a company calls its own needs testing before anyone pays for it.

What you get

For investors

  • Market size, growth and where the company really competes
  • Customer interviews: why they buy, what would make them leave, and what they pay
  • Pipeline and revenue quality: concentration, churn, discounting and how deals are won
  • Pricing power, and the go-to-market behind the plan
  • The AI claims tested: what the company built, and what is a third party's model
  • The business plan stress-tested, with the upside and the main risks
  • Early calls on anything that could stop the deal, then a written report for your investment committee

For founders preparing to raise

  • The same review on your own company, before investors run theirs
  • Your story, numbers and growth plan made to stand up to their questions
  • Problems found and fixed before the data room opens
  • A summary you can choose to share with investors

    Evidence

Data, management sessions, and customer and market interviews.

  3. Weeks 2 to 3

    Test

The market model, pipeline and pricing analysis, the AI claims and a stress test of the plan.

  4. Weeks 3 to 4

    Report

Findings, red flags and the case for and against. Anything that matters is raised the day we find it.

We review the commercial case. Financial, legal and tax diligence stay with your accountants and lawyers, and we work alongside them.

How we work

  • Built and sold, not only advised: the go-to-market is reviewed by people who have taken B2B technology to revenue.
  • AI claims tested every time: not an extra.
  • Early calls: anything that could stop the deal is raised the day we find it.
  • Evidence from the markets that matter: customer and market interviews in the Gulf and India.
  • Confidential by design: confidentiality, and who may read the report, are agreed before any data is shared.

Questions

Asked about this service

What is commercial due diligence?

A review of the business case behind a deal: the market, customers, competition, pricing, pipeline and whether the plan can be achieved. It sits beside financial and legal due diligence, not in place of them.

How long does it take?

Usually two to four weeks, set to your deal timeline. A focused review of the riskiest questions can be shorter.

Who do you interview?

Customers, former customers, competitors' customers and others in the market, as agreed with you. On an investor's review, whether the company knows is agreed in scope.

Can you test a company's AI claims?

Yes. We check what was built in-house, what relies on a third-party model, whether the data and the rights behind it hold up, and whether it changes the economics as claimed.

How do you keep it confidential?

Confidentiality terms, and who may read the report, are agreed before any data is shared.

Are you independent?

We check for conflicts before we start and tell you about any we find. On an investor's review, we work for the investor.

Will investors trust a review a founder commissioned?

Treat it as preparation, not proof. Its value is that your story and numbers already stand up when investors run their own checks. You decide whether to share the summary.

What if you find problems in our company?

Better that we find them than investors do. We show you what to fix before you raise, and how to explain what cannot be fixed.

Do you give valuations or investment advice?

No. We test the commercial case. The investment decision is yours.
